These terms govern your use of the Vibe Cohort website and our general studio services. Individual products may have additional terms.

1. About these terms

These Terms of Service are an agreement between you and Vibe Cohort LLC ("Vibe Cohort," "we," "us," or "our"). They apply when you browse this website, contact us, or otherwise interact with our general design and software development services.

By using this website, you agree to these terms. If you do not agree, please do not use the website.

2. Our studio and products

Vibe Cohort is a design and build software workshop and the portfolio owner of products including VerbatimIQ Analyze, VerbatimIQ Collect, CAIObarn, CRM-4-U, and My Special Garden.

An individual product may publish its own terms, privacy notice, cookie policy, subscription conditions, or refund rules. Those product-specific terms govern your use or purchase of that product if they conflict with these general terms. These terms apply only to the extent they are not replaced by product-specific terms.

3. Studio services and proposals

Information on this website is an invitation to discuss potential work, not a binding offer. Custom design, development, consulting, or support work begins only after the parties agree to a separate proposal, statement of work, or service agreement. That agreement controls if it differs from these terms.

4. Accounts, purchases, and Paddle

Some products require an account or paid subscription. You are responsible for accurate registration information, protecting your credentials, and activity under your account.

Where checkout identifies Paddle as the seller, Paddle is the Merchant of Record and authorized reseller for the transaction. Paddle processes payment, tax, invoices, cancellations, and approved refunds under its applicable buyer terms. Product terms may add subscription or usage conditions but do not reduce rights that cannot lawfully be waived.

5. Acceptable use

You may not misuse the website or our products, attempt unauthorized access, interfere with security or availability, introduce malicious code, scrape content in a manner that burdens our systems, violate another person's rights, or use our services for unlawful, deceptive, or abusive activity.

6. Intellectual property

The website, product names, branding, designs, software, text, images, and other materials are owned by Vibe Cohort or its licensors and are protected by applicable intellectual property laws. No ownership rights are transferred to you.

You may view the website for personal or internal business evaluation. You may not copy, modify, distribute, reverse engineer, or commercially exploit our materials except where we give written permission or applicable law permits it.

7. Third-party services and links

Our website and products may link to or depend on third-party services. We do not control their content, availability, security, or policies. Your use of a third-party service is governed by that provider's terms.

8. Disclaimers and limitation of liability

To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the website will always be uninterrupted, secure, or error-free.

To the fullest extent permitted by law, Vibe Cohort will not be liable for indirect, incidental, special, consequential, or punitive damages arising from this website. Nothing in these terms excludes liability or consumer rights that cannot lawfully be excluded.

9. Suspension, termination, and changes

We may restrict access to the website when reasonably necessary to protect users, systems, or legal rights. We may update these terms as our studio, products, or legal obligations change. The updated date above shows when the current version took effect. Continued use after an update means the revised terms apply to future use.

10. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. This choice does not deprive you of mandatory protections available under the laws of your place of residence.
